Terms of Service

These Terms of Service ("Terms") govern your use of the SkillInvoke platform, website, CLI tool, and API (together, the "Service") operated by SkillInvoke ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. The Service
SkillInvoke provides a management layer for AI coding assistant skills. The Service enables teams to:
- Organise skills (SKILL.md files) stored in GitHub repositories
- Bundle skills into packs with configurable policies
- Distribute approved skills to developer machines via the CLI
- Track activity, collect feedback, and maintain audit trails
SkillInvoke does not store the content of your skill files. Your code and skill content remains in your GitHub repositories at all times. We store only metadata such as file paths, pack assignments, and configuration.
3. Accounts
3.1 Registration
You may register with an email address and password, or by authenticating through GitHub. You must provide accurate information and keep it up to date.
3.2 Account security
You are responsible for maintaining the security of your account credentials, API keys, and any devices authorised to access the Service. You must notify us promptly at support@skillinvoke.com if you suspect unauthorised access.
3.3 Organisations
Organisation administrators are responsible for managing team membership, permissions, and billing for their organisation. When you invite a team member, you confirm that you have the right to share their email address with us for the purpose of delivering the invitation.
4. Subscriptions and billing
4.1 Plans
The Service is available under different subscription plans, which may include a free tier with limited features. Plan details, pricing, and feature availability are described on our pricing page.
4.2 Free trials
New organisations may receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using paid features. We will notify you before your trial expires.
4.3 Payment
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Payments are processed by Stripe. By providing payment information, you authorise us to charge the applicable fees to your payment method.
4.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then. We do not provide prorated refunds for partial billing periods.
4.5 Price changes
We may change subscription prices with at least 30 days' notice. Price changes apply to the next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorised access to the Service, other accounts, or connected systems
- Interfere with or disrupt the Service or its infrastructure
- Circumvent rate limits, authentication mechanisms, or access controls
- Use the Service to distribute malware, phishing content, or malicious code through skills
- Scrape, crawl, or harvest data from the Service beyond what the API permits
- Resell, sublicence, or redistribute access to the Service without our written consent
- Impersonate another person or entity
We reserve the right to suspend or terminate accounts that violate this acceptable use policy.
6. Your content and responsibilities
6.1 Skill content
You retain all intellectual property rights in the skills, code, and content you create and store in your GitHub repositories. SkillInvoke does not claim any ownership of your content.
6.2 Licence to us
By connecting a repository to the Service, you grant us a limited, non-exclusive licence to access and read SKILL.md files and pack manifests from that repository solely for the purpose of providing the Service. This licence terminates when you disconnect the repository or delete your account.
6.3 Your responsibilities
You are responsible for:
- The content of your skills and any instructions they contain
- Maintaining appropriate access controls on your GitHub repositories
- Ensuring your use of the Service complies with your organisation's policies
- Any actions taken through your account or API keys
7. GitHub integration
The Service integrates with GitHub through OAuth and the GitHub App. By using these integrations, you also agree to GitHub's Terms of Service. We access only the repositories you explicitly connect and request only the permissions necessary to provide the Service. You may revoke access at any time through your GitHub settings.
8. API usage
Access to the SkillInvoke API is subject to rate limits that vary by plan. Current rate limits are enforced per API key and are documented in the Service. We may adjust rate limits at any time to ensure fair usage and service stability.
9. Intellectual property
The Service, including its design, software, documentation, and branding, is owned by SkillInvoke and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
10. Service availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may perform maintenance, updates, or modifications that temporarily affect availability. Where planned maintenance may cause extended downtime, we will provide reasonable advance notice.
11. Limitation of liability
To the maximum extent permitted by applicable law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.
- Our total aggregate liability to you for any claims arising from or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
- We are not liable for any loss or damage caused by the content of skills you create, distribute, or execute, or by any actions taken by AI coding assistants based on those skills.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold harmless SkillInvoke, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- The content of skills you create or distribute through the Service
- Your violation of any third-party rights
13. Termination
13.1 By you
You may close your account at any time by contacting support@skillinvoke.com. If you have an active subscription, cancellation terms in section 4.4 apply.
13.2 By us
We may suspend or terminate your access to the Service if:
- You breach these Terms
- Your use poses a security risk to the Service or other users
- We are required to do so by law
- Your account has been inactive for 12 months or more (with 30 days' prior notice)
13.3 Effect of termination
On termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) will continue to apply.
14. Dispute resolution
We encourage you to contact us first at support@skillinvoke.com to resolve any disputes informally. If a dispute cannot be resolved informally within 30 days, either party may pursue formal resolution through the courts.
15. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU or UK, this does not affect your statutory rights or your right to bring proceedings in your local courts.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may close your account before they take effect.
17. General
- Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver — our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and SkillInvoke regarding the Service.
- Assignment — you may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
